Terms of Service

These Terms of Service, together with any order form, subscription page, product-specific terms, incorporated policies, and the PropCFO Privacy Policy and Refund Policy, govern access to and use of the PropCFO website, web application, bookkeeping software, subscription services, reports, exports, calculators, estimators, AI AutoExtract features, bank-feed features, and related services.

These Terms are a legal agreement between PropCFO LLC, a Washington limited liability company, and the person or entity that accesses or uses the Services. In these Terms, “PropCFO,” “we,” “us,” and “our” refer to PropCFO LLC, and “Customer,” “user,” “you,” and “your” refer to the person or entity using the Services.

1. Acceptance of Terms

By creating an account, clicking a checkbox or button indicating acceptance, purchasing a subscription, accessing the Services, or using any free tool, calculator, estimator, website feature, or application feature, you agree to be bound by these Terms. PropCFO should ensure that the Terms of Service and Privacy Policy are clearly hyperlinked at sign-up and, where practicable, that acceptance is logged with the policy version, timestamp, user ID, and IP/device metadata.

If you use the Services on behalf of a company, organization, property-owning entity, fund, partnership, trust, or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.

You may not use the Services if you do not agree to these Terms.

2. The Services

PropCFO provides software tools designed to help real estate investors and property owners organize bookkeeping records, property-level financial information, transaction data, reports, and related outputs. The Services may include:

(a) property-level income and expense tracking;

(b) transaction imports and categorization;

(c) P&L statements, balance sheets, and other financial reports;

(d) Schedule E export tools or tax-related export features;

(e) receipt upload and AI-powered extraction tools, including “AI AutoExtract”;

(f) free calculators, estimators, and educational tools;

(g) integrations with third-party services, including payment processors, bank-data connection providers, hosting providers, database providers, and AI/OCR processing providers; and

(h) other related features made available by PropCFO from time to time.

PropCFO may modify, suspend, improve, or discontinue features from time to time, subject to applicable law and any express commitments in an applicable paid subscription plan.

3. Eligibility; Account Registration

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.

You are responsible for maintaining accurate account information, safeguarding login credentials, maintaining the confidentiality of your account, and all activity occurring under your account. You must promptly notify PropCFO of any unauthorized use or suspected compromise of your account.

4. Software Only; No Professional Advice

PropCFO provides software, automation, reporting, data-management, and bookkeeping-support tools. Unless PropCFO expressly agrees otherwise in a separate written professional-services agreement, the Services do not constitute accounting, tax, legal, financial, investment, audit, attest, payroll, valuation, fiduciary, or other professional advice.

PropCFO is not your accountant, tax preparer, lawyer, investment adviser, financial adviser, broker, fiduciary, or auditor by virtue of providing the Services. No accountant-client, tax-adviser-client, attorney-client, fiduciary, or other professional relationship is created by your use of the Services.

You are solely responsible for reviewing all reports, exports, categories, transaction data, Schedule E exports, tax-related outputs, financial statements, and other information before using them for tax filings, investor reporting, lender reporting, financing decisions, acquisitions, dispositions, audits, accounting records, financial decisions, or legal compliance.

You should consult qualified accounting, tax, legal, and financial professionals before making decisions or filing returns based on information generated through the Services.

5. User Data; Ownership; License to PropCFO

As between you and PropCFO, you retain ownership of the financial records, transaction data, property information, receipt images, documents, bookkeeping records, notes, exports, and other content that you submit, upload, import, connect, or otherwise provide to the Services.

You grant PropCFO a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, modify, and use your data solely as reasonably necessary to:

(a) provide, maintain, secure, and improve the Services;

(b) generate reports, exports, bookkeeping outputs, AI AutoExtract outputs, and other requested features;

(c) process transactions, subscriptions, billing, support, and account administration;

(d) comply with law, enforce these Terms, and protect the Services; and

(e) create aggregated or de-identified data that does not identify you or any individual and cannot reasonably be linked back to you.

PropCFO does not claim ownership of your user data.

6. User Responsibility for Data Accuracy

You are responsible for the accuracy, completeness, quality, legality, and reliability of all information submitted to or generated through the Services, including:

(a) property details;

(b) ownership, entity, and tax classification information;

(c) transaction records and imported bank-feed data;

(d) receipt images and extracted receipt data;

(e) expense categories and chart-of-accounts classifications;

(f) manual adjustments, reconciliations, journal entries, and notes;

(g) Schedule E export inputs; and

(h) information provided by authorized users, employees, contractors, agents, accountants, bookkeepers, property managers, or other third parties.

Imported transaction data may be incomplete, delayed, duplicated, miscoded, unavailable, or subject to correction by third-party institutions or processors. You are responsible for verifying all imported data and reconciling it against original source records.

7. AI AutoExtract and Automated Features

PropCFO may use AI, machine learning, optical character recognition, text extraction, data parsing, classification tools, or similar automated technologies to help extract or categorize information from receipts, invoices, images, documents, and financial records.

AI AutoExtract and similar features may produce inaccurate, incomplete, duplicative, or misleading outputs. They may misread amounts, dates, tax, merchant names, categories, invoice numbers, property allocations, payment methods, or other information.

You must review, verify, correct, and approve AI-generated or AI-assisted outputs before relying on them. PropCFO does not guarantee the accuracy, completeness, tax treatment, accounting treatment, or legal sufficiency of AI-generated or AI-assisted outputs.

8. Reports, Financial Statements, and Schedule E Exports

Reports, dashboards, P&L statements, balance sheets, Schedule E exports, tax-related exports, performance metrics, and other outputs are generated based on the information available in your account and the assumptions, mappings, categories, rules, and settings applied in the Services.

Such outputs are for informational and organizational purposes only. They are not a substitute for professional review. PropCFO does not warrant that any report, financial statement, export, or tax-related output complies with GAAP, tax law, IRS requirements, state or local tax requirements, lender requirements, investor-reporting requirements, or any other accounting, tax, legal, or contractual standard.

You are solely responsible for determining whether any output is appropriate for your intended use.

9. Free Tools, Calculators, and Estimators

PropCFO may provide free calculators, estimators, templates, articles, guides, demos, projections, or educational tools that do not require a paid account.

Free tools are provided for general informational purposes only. Outputs are estimates based on limited inputs and assumptions and may not reflect your actual facts, tax situation, accounting records, financing terms, ownership structure, property economics, applicable law, or professional requirements.

You should not rely on free tools as tax, legal, accounting, financial, investment, or professional advice.

10. Bank Connections and Third-Party Data Providers

PropCFO may allow you to connect financial accounts through third-party service providers such as Plaid. By connecting a financial account, you authorize PropCFO and its third-party providers to access, retrieve, process, and display account and transaction information from the connected institution as necessary to provide the Services.

You represent that you have all rights and authority necessary to connect each financial account and to authorize access to related data.

PropCFO is not responsible for errors, delays, interruptions, inaccuracies, security incidents, account restrictions, fee changes, data unavailability, or other acts or omissions of financial institutions or third-party data providers. Third-party data providers may impose their own terms and privacy policies.

You may disconnect financial accounts through available account settings or by contacting PropCFO at support@propcfo.com. Disconnecting an account may limit functionality.

11. Payments; Subscriptions; Auto-Renewal

PropCFO offers monthly and annual subscription plans. Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.

By purchasing a paid subscription, you authorize PropCFO and its payment processor to charge the applicable subscription fees, taxes, and other charges to your selected payment method on a recurring basis until canceled.

You must keep payment information accurate and current. If payment fails, PropCFO may suspend or terminate access to paid features.

Fees are non-refundable except as expressly provided in the PropCFO Refund Policy or required by applicable law.

Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable sales, use, value-added, goods-and-services, withholding, excise, digital-services, and similar taxes, duties, levies, or governmental charges, excluding taxes based on PropCFO’s net income. PropCFO may calculate, collect, and remit applicable taxes where required or permitted by law.

12. Free Trial

PropCFO may offer a 14-day free Pro trial with no credit card required. Unless otherwise stated at sign-up, the free trial does not automatically convert into a paid subscription unless you separately select a paid plan and provide payment information.

At the end of the free trial, unless you purchase a paid subscription, your access to Pro features and account functionality will expire, and logging into your account may direct you to the subscription page.

13. Cancellation

You may cancel a paid subscription through the account billing settings or by contacting PropCFO at support@propcfo.com. Cancellation takes effect at the end of the then-current billing period unless otherwise required by law or expressly stated in the Refund Policy.

After cancellation, you will generally retain access to paid features through the end of the current billing period. PropCFO does not provide partial refunds or credits for unused time except as required by law or expressly stated in the Refund Policy.

14. Data Export and Portability

PropCFO is designed to allow users to export certain account data, reports, and records through available export tools.

You are responsible for exporting your data before canceling your subscription or closing your account. PropCFO may retain account data for a limited period after cancellation, as described in the Privacy Policy, but does not guarantee indefinite availability or recoverability of data after subscription termination, account closure, or deletion.

15. Acceptable Use

You may not:

(a) use the Services for unlawful, fraudulent, deceptive, infringing, abusive, or harmful purposes;

(b) use the Services to prepare or support false, misleading, fraudulent, or unlawful tax filings, financial statements, loan applications, investor reports, or other records;

(c) upload data you do not have the right to provide;

(d) connect financial accounts without authorization;

(e) attempt to gain unauthorized access to the Services or related systems;

(f) interfere with, disrupt, scrape, crawl, reverse engineer, copy, resell, or misuse the Services;

(g) upload malware, harmful code, or unlawful content;

(h) misrepresent your identity, authority, ownership, tax status, or property information;

(i) use the Services to violate any third-party terms, privacy rights, contractual rights, or laws; or

(j) use the Services in a manner that could damage PropCFO, other users, vendors, financial institutions, or the integrity of the Services; or

(k) use the Services in or for the benefit of any sanctioned country, territory, person, or entity, or in violation of applicable export-control, sanctions, anti-money-laundering, or anti-corruption laws.

16. Customer Responsibilities

You are responsible for:

(a) maintaining source records;

(b) reconciling imported data;

(c) reviewing all AI-generated and automatically generated outputs;

(d) making appropriate backups and exports;

(e) obtaining professional advice where appropriate;

(f) ensuring your use complies with applicable tax, accounting, privacy, consumer-protection, financial, and business laws;

(g) managing authorized users and permissions; and

(h) ensuring that any third-party data you upload or process through the Services is collected and used lawfully.

17. Security

PropCFO uses commercially reasonable administrative, technical, and organizational safeguards designed to protect the Services and user data. However, no method of transmission, storage, processing, hosting, or security is completely secure.

You are responsible for using strong passwords, protecting credentials, limiting account access, promptly revoking access for unauthorized users, and enabling available security features.

18. Intellectual Property

PropCFO and its licensors own all rights, title, and interest in and to the Services, including software, designs, interfaces, workflows, dashboards, algorithms, templates, reports, branding, documentation, and other proprietary materials, excluding your user data.

Subject to these Terms, PropCFO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal real estate investment bookkeeping purposes.

You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or reverse engineer any part of the Services except as expressly permitted by law.

19. Feedback

If you provide suggestions, comments, ideas, enhancement requests, or feedback, you grant PropCFO a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

20. Third-Party Services

The Services may interoperate with third-party products and services, including Stripe, Plaid, Supabase, Vercel, financial institutions, analytics providers, communication providers, and AI/OCR processing providers.

Third-party services are not controlled by PropCFO. PropCFO is not responsible for third-party services, data practices, outages, errors, fees, terms, privacy policies, security incidents, or service changes.

Your use of third-party services may be subject to separate third-party terms and policies.

21. Suspension and Termination

PropCFO may suspend or terminate access to the Services if:

(a) payment is overdue;

(b) you breach these Terms;

(c) your use creates security, legal, operational, financial, or reputational risk;

(d) you misuse the Services or third-party integrations;

(e) PropCFO is required to do so by law or third-party provider requirements; or

(f) continued access could harm PropCFO, users, vendors, financial institutions, or the Services.

Upon termination, your right to access the Services will cease, subject to any limited data-retention period described in the Privacy Policy.

22. Indemnification

You will defend, indemnify, and hold harmless PropCFO, its affiliates, officers, directors, members, managers, employees, contractors, agents, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

(a) your use or misuse of the Services;

(b) your user data or source records;

(c) inaccurate, incomplete, unlawful, or unauthorized data submitted to the Services;

(d) unauthorized financial-account connections;

(e) your reliance on reports, exports, AI outputs, Schedule E exports, or other outputs without appropriate review;

(f) tax filings, financial statements, loan submissions, investor reports, or other documents prepared using information from the Services;

(g) your violation of these Terms, applicable law, or third-party rights; or

(h) the acts or omissions of your authorized users, agents, contractors, accountants, bookkeepers, property managers, or representatives.

23. Disclaimer of Warranties

The Services, including all reports, exports, AI AutoExtract outputs, free tools, calculators, estimators, bank-feed data, and third-party integrations, are provided “as is” and “as available.”

To the maximum extent permitted by law, PropCFO disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and error-free operation.

PropCFO does not warrant that the Services or outputs will be accurate, complete, uninterrupted, secure, tax-compliant, accounting-compliant, legally sufficient, or suitable for any particular purpose.

24. Limitation of Liability

To the maximum extent permitted by law, PropCFO will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; loss of goodwill; loss of data; loss of business opportunity; tax penalties; interest; audit expenses; professional fees; investment losses; financing losses; or damages arising from reliance on reports, exports, AI outputs, free tools, or third-party data, even if PropCFO has been advised of the possibility of such damages.

To the maximum extent permitted by law, PropCFO’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the fees paid by you to PropCFO for the Services giving rise to the claim during the twelve months before the event giving rise to liability.

For free tools, free trials, and non-paid services, PropCFO’s total liability will not exceed US$100.

The limitations above apply to all theories of liability, including contract, tort, negligence, strict liability, statute, equity, and otherwise, except to the extent prohibited by applicable law.

Exceptions. Nothing in this Section limits your payment obligations or indemnification obligations. The exclusions and cap above do not limit PropCFO’s liability to the extent a limitation is prohibited by applicable law, including liability arising from PropCFO’s fraud, willful misconduct, or gross negligence, and any non-waivable liability under applicable consumer-protection, privacy, data-security, or similar laws, including, where applicable, the Washington Consumer Protection Act (RCW 19.86).

Allocation of risk. You acknowledge that the fees reflect this allocation of risk, that these limitations are an essential basis of the bargain, and that they apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so portions of this Section may not apply to you.

25. Changes to the Services or Terms

PropCFO may update these Terms from time to time. The updated Terms will be effective when posted or as otherwise stated in the notice.

If a change materially affects your rights or obligations, PropCFO will use reasonable efforts to provide notice through the Services, by email, or by other reasonable means. Continued use after the effective date constitutes acceptance of the updated Terms.

26. Governing Law; Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

This choice of Washington law does not override mandatory consumer-protection, privacy, tax, payment, or other non-waivable laws that apply based on where you are located or how the Services are offered.

Subject to any mandatory arbitration provision or small-claims right selected by PropCFO, the state courts located in Snohomish County, Washington and the federal courts for the Western District of Washington will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue in those courts.

Informal resolution first. Before filing any claim, you agree to contact PropCFO at the email address below and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Venue; jury waiver. The parties intend that exclusive venue lie in the state courts located in Snohomish County, Washington and the federal courts for the Western District of Washington. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL in any dispute arising out of or relating to these Terms or the Services.

Time limit. To the extent permitted by law, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim arises, except where a longer period is required by applicable law or where the claim may not be shortened by agreement.

27. Miscellaneous

These Terms constitute the entire agreement between you and PropCFO regarding the Services, except for any separate written agreement signed by PropCFO. If any provision is unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without PropCFO’s consent. PropCFO may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. No waiver is effective unless in writing. Sections intended to survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, dispute provisions, and payment obligations.

Force majeure. PropCFO is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, outages, failures of third-party services or networks, labor disputes, or governmental action.
